States block Paramount, Warner Bros. Discovery merger

July 15, 2026

12 States Sue to Block Paramount’s $110B WBD Deal
Twelve states, led by California, have filed a lawsuit in U.S. District Court to block Paramount’s proposed $110 billion takeover of Warner Bros. Discovery (WBD). The plaintiffs argue that the massive merger, which recently received U.S. Department of Justice approval, violates antitrust laws by reducing competition, raising consumer prices, and limiting content across the entertainment and sports media landscapes. Paramount has vowed to vigorously defend the deal, claiming the lawsuit distorts antitrust law and threatens their timeline to close the transaction by the end of September.
